FOR VALUE RECEIVED, the undersigned hereby sells and transfers unto

The seller warrants and represents that it has good title to same, and the full right and authority to sell and transfer same, and that the said goods and chattels are being sold free and clear of any and all liens and encumbrances whatsoever.

Provided however, that the Seller disclaims any warranty of merchantability or fitness for a particular purpose, the said goods being sold in their present condition "as is" and "where is".
